Welcome to hklika.com. These Terms and Conditions of Business (“Terms”) constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“Client”, “you”), and Lika Electronics Co., Ltd. (“LIKA”, “we”, “us”, or “our”), governing your access to and use of our website as well as the procurement of our products, engineering designs, and automated manufacturing services.
LIKA is a professional high-tech enterprise specializing in the integration of research and development (R&D), production, marketing, and sales of high-performance lithium-ion cells and custom battery packs.
1. Acceptance of Terms
By accessing hklika.com, requesting a quotation, or placing a purchase order for our products or services (including OEM and ODM custom battery designs), you acknowledge that you have read, understood, and agreed to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the Website and must discontinue use immediately.
2. Scope of Services and Products
LIKA engineers and manufactures advanced lithium-ion chemistries across three core sectors: Consumer Electronics, Small Power Devices, and Energy Storage. Our offerings include, but are not limited to:
Lithium-Ion Battery Cells: Standard and customized cylindrical sizes (e.g., 21700, 18650, 14500, and 14430 series) optimized as Capacity, Functional, Power, or Magnification types.
Custom Battery Packs: Multi-cell configurations spanning various voltages ($3.7\text{V}$, $7.4\text{V}$, $11.1\text{V}$, $14.8\text{V}$, $18.5\text{V}$, $22.2\text{V}$, $25.9\text{V}$, etc.) built for e-bikes, forklifts, solar street lighting, and medical devices.
Industrial Manufacturing Capacity: High-throughput automated production leveraging our four major Guangdong manufacturing bases (Shenzhen, Huizhou, Meizhou, and Huidong).
3. Intellectual Property, Specifications, and Custom Design (OEM/ODM)
A. Proprietary Content
All content on hklika.com, including text, graphics, corporate logos, structural brand images, factory photographs, and online catalogs, is the exclusive intellectual property of Lika Electronics Co., Ltd. and is protected by international copyright, trademark, and patent laws.
B. Engineering Rights
We retain multiple patents in advanced lithium-ion technology, covering protective internal cellular structures, mechanical design metrics, and specialized manufacturing equipment blueprints.
C. Client-Provided Specifications
When submitting technical parameters, engineering drawings, or chemical requirements for OEM/ODM customization, the Client warrants that they possess full legal rights to such data and that it does not infringe upon any third-party intellectual property.
LIKA retains the intellectual property rights for any derivative design, manufacturing optimization, or engineering breakthroughs developed by our internal $45\text{+}$ engineer R&D team during the execution of your order.
4. Ordering, Quotes, and Commercial Terms
Quotations: All pricing provided by our global marketing and business departments is based on the technical configuration requested and remains valid strictly for the window specified on the formal quote sheet.
Lead Times and Scaling: Production scheduling is tied to localized line capacities across our automated infrastructure (e.g., Buildings D, F, and G). While our standard infrastructure yields a daily capacity of 700,000 to 1 million cylindrical cells, mass volume orders require binding mutual confirmation of delivery phases.
Order Modifications: Once a production run has commenced—particularly for custom-shaped, modified, or special-type battery configurations—orders cannot be canceled or structurally modified without explicit written sign-off from our general management team and payment for incurred material costs.
5. Shipping, Logistics, and Risk of Loss
Because lithium-ion batteries are globally classified as Dangerous Goods, shipping is subject to stringent transport safety laws:
Logistical Compliance: No batch allocation will clear our factory gates for international distribution unless the corresponding design configuration has verified documentation under the UN38.3 transport testing protocol, alongside required destination criteria (such as UL, CE, CB, or CCC certification frameworks).
Delivery Terms: Unless otherwise explicitly specified in the purchasing agreement, all international shipments are processed under standard commercial shipping terms agreed upon during contract signing. Risk of loss passes to the Client upon delivery of the goods to the authorized carrier at our Guangdong loading hubs.
6. Manufacturing Standards and Product Warranties
A. Quality Assurance
LIKA maintains strict international compliance, verifying our active physical facilities and production workflows under ISO 9001 (Quality Management), ISO 14001 (Environmental Management), and ISO 45001 (Occupational Health and Safety) frameworks.
B. Standard Performance Metrics
Our standard capacity cells are engineered to maintain a capacity retention rate of $\ge80\%$ after 300 to 500 standard charge-discharge cycles under correct operating protocols, depending on whether the architecture utilizes built-in PTC protection devices or specialized CID safety caps.
Standard Cycle Lifespan Performance
PTC + CID Cap Cells: 500 Cycles ≥ 80% Capacity Retention
[========================================]
CID Safety Cap Cells: 300 Cycles ≥ 80% Capacity Retention
[====================================]
C. Warranty Exclusions
LIKA providing cell components assumes that the customer incorporates correct electronic battery management system (BMS) logic. Our warranty is explicitly voided if a product experiences failure, capacity drop, or thermal stress due to:
Exceeding prescribed continuous high-drain limits (e.g., discharging beyond the specified 3-5C or 8-15C ratings).
Operating outside valid temperature barriers (such as running non-extreme cells beyond designated boundaries like $-40^{\circ}\text{C}$ to $85^{\circ}\text{C}$).
Mishandling, puncture, unapproved secondary pack modification, or external short circuits that bypass the cell’s physical safety devices.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Lika Electronics Co., Ltd. shall not be held liable for any indirect, incidental, consequential, punitive, or special damages—including but not limited to loss of revenue, business interruption, grid outages, or device damage—arising from the use, application, or system integration of our battery cells or packs into third-party hardware. LIKA’s maximum total financial liability for any proven product defect shall not exceed the net purchase price paid by the Client for the specific production batch under dispute.
8. Governing Law and Dispute Resolution
These Terms and any separate commercial sales contracts shall be governed by, interpreted, and enforced in accordance with the laws of the jurisdiction in which our primary high-tech operations are registered, without regard to principles of conflicts of law. Any legal dispute, claim, or controversy arising out of these Terms that cannot be settled amicably shall be submitted to the exclusive jurisdiction of the regional courts possessing direct municipal oversight over our corporate headquarters.
